ZeraWorks Subscription Agreement

This Subscription Agreement (“Agreement”) is entered into on [Effective Date] (“Effective Date”) by and between ZeraWorks, LLC, a Wyoming limited liability company with its principal office at C/O: Shalom Horizon Holdings, LLC, 30 N Gould St Ste R, Sheridan, WY 82801 (“Provider”), and [Client Name] (“Client”).

1. Term

1.1 Term – This Agreement shall commence on the Effective Date and remain in effect for twelve (12) months, renewing automatically for successive annual terms unless terminated in accordance with Section 9.

2. Services Provided

ZeraWorks agrees to provide the Client with access to its CRM platform, tools, and support as outlined below:

Core CRM & Marketing Tools

• CRM dashboard for contact, lead, and pipeline management

• Online appointment scheduling with calendar sync

• Unified inbox for SMS and email communication

• Email marketing & SMS campaigns

• Automation workflows (drip sequences, reminders, tagging)

• Funnel and landing page builder

• Forms, surveys, and lead capture tools

• Invoicing, payments, and follow-up reminders

• Client portal and file sharing

• Membership/course hosting

• Social media content scheduling

Support & Education

• Access to ZeraWorks training library

• Monthly live Q&A sessions

• Email/chat support

• Community support forum

3. Client Responsibilities

The Client agrees to:

• Provide accurate business information for platform setup

• Maintain login security and safeguard data integrity

• Use the platform only for lawful and ethical purposes

• Comply with all applicable regulations (e.g., SMS/email marketing laws)

4. Payment Terms

Subscription Options

Roots Subscription (Discounted Plan)

• Monthly Plan: $90/month (discounted from $295/month)

• Annual Plan: $900/year

Standard Subscription

• Monthly Plan: $295/month for twelve (12) months, billed one month in advance

• Annual Plan: $3,000/year

All payments are non-refundable. Subscriptions auto-renew unless canceled in writing at least thirty (30) days prior to the next billing cycle. Late payments of more than 7 days may result in suspension of access.

Phone & Messaging

• Dedicated phone number with API registration

• Per-usage charges for text messages and emails (rates vary by carrier)

AI Employee & Business Assistant

• AI-powered automation assistant for follow-ups, scheduling, and client communication

• Trained on your business processes for custom workflows

Custom Mobile App

• Branded app connected to your CRM account

• Available for client bookings, communications, and resource sharing

Website Design

• Service Fee: $300 (50% due before work begins, balance due upon delivery)

• Includes: basic structure setup, up to 3 edit rounds

• Hosting/domain purchase is Client’s responsibility (unless using ZeraWorks domains)

• Additional edits or custom features quoted separately

VA Support Packages

• Starter: 3 hrs/month – $50

• Builder: 6 hrs/month – $95

• Systems Pro: 10 hrs/month – $140

• On-Demand: $20/hr with no monthly commitment

Recommended Additional Add-Ons:

• Reputation Management (automated review requests & monitoring)

• Social Media Boost (advanced posting & engagement features)

• Call Tracking & Recording (track ROI on campaigns)

• Custom Zapier/Integrations (connect with outside apps/tools)

• Expanded Storage & Media Hosting (for high-volume businesses or agencies)

6. Ownership & Branding

• The platform is powered by ZeraWorks and white-labeled for Client use

• All content created by the Client remains their property

• ZeraWorks retains ownership of proprietary tools, templates, and automations

7. Limitation of Liability

ZeraWorks is not liable for:

• Business outcomes or lost revenue

• Errors caused by third-party integrations

• Misuse or accidental deletion of Client data
  Liability cap: Limited to the total fees paid by Client in the 12 months preceding the claim

8. Termination

• Either party may terminate with thirty (30) days’ written notice prior to renewal

• Upon cancellation, Client access ends at the conclusion of the paid term

• Termination for breach may occur immediately if uncured within thirty (30) days of written notice

9. Confidentiality

Both parties agree to maintain the confidentiality of sensitive business and contact data.

10. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the State of Wyoming. Any disputes shall be resolved through binding arbitration in Sheridan, Wyoming, in accordance with the rules of the American Arbitration Association.

12. Entire Agreement

This Agreement represents the entire understanding between the parties, superseding all prior agreements. Modifications must be in writing and signed by both parties.
